Welcome to Protoface (“Protoface,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, landing page, waitlist, demos, products, services, software, APIs, and related features that enable real-time avatar experiences (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. About Protoface
Protoface provides tools and technology for creating, rendering, streaming, or interacting with real-time digital avatars. The Service may include website content, product previews, beta features, waitlists, developer tools, and other avatar-related experiences.
2. Eligibility
You must be the minimum age required in your jurisdiction to use the Service. If you use the Service on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts, Waitlists, and Beta Access
Some parts of the Service may require you to provide information such as your name, email address, company, role, or intended use case. You agree to provide accurate information and to keep it updated.
We may offer beta, preview, or experimental features. Both Beta and standard features may be incomplete, unstable, changed, suspended, or discontinued at any time without notice.
4. Acceptable Use
You agree not to use the Service to:
Violate any law, regulation, contract, or third-party right.
Impersonate another person without authorization.
Create misleading, deceptive, harmful, abusive, harassing, defamatory, obscene, or illegal content.
Generate or deploy avatars in a way that deceives people into believing they are interacting with a real person when that is not true, unless appropriate disclosure is provided.
Upload or transmit malware, harmful code, or content that interferes with the Service.
Reverse engineer, scrape, copy, benchmark, or misuse the Service except as permitted by us in writing.
Use the Service to develop competing products or services without our written consent.
Attempt to bypass security, rate limits, access controls, or usage restrictions.
We may suspend or restrict access if we believe your use violates these Terms or creates risk for Protoface, users, or third parties.
5. User Content and Avatar Inputs
You may provide content to the Service, including text, images, video, audio, motion data, prompts, likeness-related inputs, or other materials (“User Content”).
You represent and warrant that you have all rights, permissions, and consents needed to provide User Content to Protoface and to allow us to process it as described in these Terms and our Privacy Policy.
You are responsible for your User Content and for how you use any avatar, output, media, or experience generated through the Service.
6. Rights You Grant to Protoface
You retain ownership of your User Content. However, you grant Protoface a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, modify, display, transmit, and otherwise use your User Content as necessary to provide, operate, improve, secure, and support the Service.
If you submit feedback, ideas, suggestions, or feature requests, you grant us the right to use them without restriction or compensation.
7. Protoface Intellectual Property
The Service, including our software, models, designs, branding, website content, documentation, interfaces, technology, and related materials, is owned by Protoface or our licensors and is protected by intellectual property laws.
Except for rights expressly granted in these Terms, we reserve all rights in and to the Service.
8. Third-Party Services
The Service may link to or integrate with third-party websites, platforms, tools, APIs, or services. We are not responsible for third-party services, and your use of them may be governed by separate terms and policies.
9. Payments
If paid features are offered, pricing, billing terms, taxes, renewal terms, cancellation rights, and refund rules will be presented separately at the time of purchase or in an applicable order form.
10. Availability and Changes
We may modify, suspend, or discontinue any part of the Service at any time. We do not guarantee that the Service will be uninterrupted, secure, error-free, or available at all times.
11. No Professional Advice
The Service is provided for general technology, creative, communication, and avatar-related use cases. It is not intended to provide legal, medical, financial, security, or other professional advice.
12. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Protoface disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
We do not guarantee that avatar outputs will be accurate, appropriate, uninterrupted, non-infringing, or suitable for your intended purpose.
13. Limitation of Liability
To the fullest extent permitted by law, Protoface and its affiliates, officers, employees, contractors, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities.
To the fullest extent permitted by law, Protoface’s total liability for any claim related to the Service will not exceed the greater of: (a) the amount you paid to Protoface for the Service in the three months before the claim arose, or (b) USD $100.
14. Indemnification
You agree to defend, indemnify, and hold harmless Protoface and its affiliates, officers, employees, contractors, agents, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any law or third-party right.
15. Termination
We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms or if your use creates legal, security, operational, or reputational risk.
You may stop using the Service at any time.
16. Governing Law
These Terms are governed by the laws of California, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in [County/State/Country], unless applicable law requires otherwise.
